BuyOne App Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between SIA "BUYONE", Reg. No. 40203518800, Legal Address: Brīvības gatve 342-33, Rīga, LV-1006, Latvia (hereinafter "BuyOne", "the Company", "we", "us"), and any individual who accesses or uses the BuyOne mobile application and related services (hereinafter "User", "you"). By using the BuyOne app, you confirm that you have read, understood, and agree to these Terms. If you do not agree with any of these provisions, you must stop using the app immediately.
1. The Platform and Legal Capacity
1.1. Service Description: BuyOne provides a C2C (Consumer-to-Consumer) "Social Utility" marketplace and "Lifestyle Hosting" infrastructure. The platform enables Users acting as "Hosts" to list structured, activity-based sessions ("Social Slots") and Users acting as "Guests" to book such sessions. 1.2. Intermediary Status: BuyOne operates strictly as an intermediary technology platform. BuyOne is not a party to the actual service contract between the Host and the Guest. 1.3. Eligibility: Users must be at least 18 years of age and possess the full legal capacity to enter into binding contracts.
2. Commercial Agency Appointment (PSD2 Compliance)
2.1. Appointment: Each Host hereby appoints BuyOne as its limited Commercial Agent for the sole purpose of negotiating and concluding the sale of Social Slots on the Host's behalf. 2.2. Authority: Under this agency, a Guest's payment obligation to the Host is deemed satisfied the moment BuyOne (or its regulated payment partner) receives the funds. 2.3. License Exemption: This agency model is intended to comply with the "Commercial Agent Exemption" under Article 3(b) of Directive (EU) 2015/2366 (PSD2) and the Latvian Law on Payment Services and Electronic Money.
3. User Roles and Platform Logic
3.1. Definitions of Participating Parties: • Visitor: Any individual who accesses the BuyOne Application or Website for the purpose of browsing Social Slots, categories, or public content. No KYC is required for Visitors. • Host: A User who has successfully completed mandatory Identity Verification (KYC) and is authorized to create, list, and facilitate a "Social Slot." The Host is the independent provider of the service and is primary responsible for the execution of the activity scenario. • Guest: A User who has successfully completed mandatory Identity Verification (KYC) and is authorized to request a booking and authorize payment for a specific Social Slot. 3.2. The Hosting Logic: • By listing a Social Slot, the Host represents and warrants that they possess the necessary skills, expertise, and legal right to provide the described service. • The Host is responsible for defining the parameters of the Social Slot, including the time, location, and specific activity scenario within the authorized categories (Study, Business, Service, Sport, or Entertainment). • The Host acknowledges that BuyOne's role is limited to the technological facilitation of the listing and the collection of funds as a commercial agent. 3.3. The Guest Logic: • The Guest acknowledges that their booking is a commitment to participate in a real-world activity. • The Guest is obligated to fulfill the payment through the platform's integrated payment infrastructure to ensure the validity of the "Secure Hold" (Escrow) mechanism. • The Guest is responsible for confirming the completion of the Social Slot within the application to trigger the final settlement to the Host, or for raising a dispute via the "Report" function if the service was not rendered. 3.4. Dual Role Capacity: BuyOne Users may act as both Hosts and Guests; once a User attains "Verified" status through the mandatory KYC process, that status applies to both roles within the platform ecosystem, provided the User continues to adhere to the Fraud Prevention Policy and community standards. 3.5. Platform Neutrality: The transition from Visitor to Guest or Host constitutes an acknowledgment that BuyOne remains a neutral intermediary. All contractual obligations regarding the quality, timing, and safety of the in-person meeting remain solely between the verified Host and the verified Guest.
4. Identity Verification and Compliance (KYC/AML)
4.1. Mandatory KYC: In accordance with our AML/CTF Policy, all active Users - Hosts and Guests must undergo mandatory identity verification via our third-party providers. 4.2. A Host cannot publish a Social Slot listing without a "Verified" status. 4.3. A Guest cannot initiate a booking request or authorize a payment without a "Verified" status. 4.4. Cooperation: Users agree to provide accurate documentation and biometrics as requested. Failure to complete KYC/AML checks will result in the immediate suspension of account privileges.
5. Prohibited Activities and Content Governance
5.1. Strict Prohibition: Users are prohibited from using BuyOne to facilitate, promote, or solicit any of the following: • Adult Services: Escort services, prostitution, or any sexually explicit content/interaction. • Illegal Commodities: Sale of drugs, weapons, or unregulated substances. • Financial Scams: Multi-level marketing (MLM), unauthorized financial advice, or money laundering. • Abuse: Violent, racist, or harassing behavior. 5.2. Monitoring: All Social Slots are subject to manual moderation. BuyOne reserves the right to remove any listing or ban any User that violates our Fraud Prevention Policy or community standards without prior notice.
6. Payments, Commissions, and Settlement
6.1. Payment Infrastructure: Payments are processed via regulated third-party Payment Service Providers (PSPs). Users agree to be bound by the terms of our PSPs. 6.2. The 80/20 Split: BuyOne retains a 20% service fee (commission) from every successful transaction. The remaining 80% constitutes the Host's net payout. 6.3. Safeguarding (Escrow) Logic: Funds are authorized at the time of booking and held in a regulated safeguarding environment. Payouts to the Host are triggered only after the Social Slot has been confirmed as completed. 6.4. BuyOne does not store card data – it is processed exclusively by payment partners in accordance with PCI DSS and GDPR standards. 6.5. Currency: All transactions are processed in Euro (EUR).
7. Event Completion Confirmation and Automatic Payments
7.1. After the event begins, the Guest must confirm in the app that the event occurred, using a designated button or notification. 7.2. Once confirmed, the event is considered completed, and the payment system is instructed to transfer funds to the Host. 7.3. If the Guest does not confirm, but no complaint is received within 48 hours after the event time, the payment is automatically released to the Host. 7.4. If a complaint is received within 48 hours, the payment is paused until BuyOne support investigates. 7.5. If the Guest did not attend the event without canceling, the payment is not refunded and is transferred to the Host after 48 hours.
8. Host Tax Obligations and Employment Status
8.1. Independent Contractor Status: Hosts operate as independent service providers. Nothing in these Terms creates a partnership, joint venture, or employer-employee relationship between the Host and BuyOne. 8.2. Tax Responsibility: Hosts are solely responsible for calculating, reporting, and remitting any applicable taxes arising from income generated on the platform. 8.3. Self-Employment: By acting as a Host, you represent that you are registered as a self-employed individual or a business entity where required by Latvian or local law. BuyOne does not act as a tax agent and will not withhold taxes from your payouts.
9. Cancellations, Withdrawals, and Disputes
9.1. According to EU Directive 2011/83/EU (implemented in Latvia via the Consumer Rights Protection Law), EEA users have the right to cancel a digital purchase within 14 days if the service has not yet been fully provided. 9.2. When booking an event with a specific date/time, the user agrees that the service begins at a fixed moment, so the 14-day withdrawal right does not apply if fewer than 24 hours remain. 9.3. Refund Policy: Cancellations made more than 24 hours before the activity are eligible for a refund. Cancellations made within 24 hours or "no-shows" are non-refundable. 9.4. To cancel, email support@buyone.me with your name, email, date and title of the event, and reason for cancellation. 9.5. If the cancellation is made on time, the amount is refunded within 5–10 business days using the original payment method. 9.6. Dispute Resolution: In the event of an unfulfilled service, Guests must use the "Report Content/Dispute" button within 48 hours of the scheduled time. BuyOne will investigate and, if fraud or failure to perform is confirmed, initiate a refund.
10. Limitation of Liability
10.1. "As Is" Basis: BuyOne provides the platform "as is" and does not guarantee the quality, safety, or legality of any Social Slot hosted by a third party. 10.2. Maximum Liability: To the extent permitted by law, BuyOne's total liability for any claim shall not exceed €100.00 or the total commissions paid by the User in the 12 months preceding the claim.
11. Governing Law
11.1. These Terms are governed by the laws of the Republic of Latvia. 11.2. Any disputes shall be subject to the exclusive jurisdiction of the courts of Latvia.
